DEFINITIONS

  • Platform: The neovalys.com website, as well as any mobile application or other means of online access that allows you to consult the real estate rental and sale offers offered by NeoValys Real Estate.
  • User: Any natural or legal person who accesses the platform to consult or use its services, whether a private individual or a professional.
  • Services: The services offered by NeoValys Real Estate, namely intermediation for the rental or sale of third-party properties and the direct sale of NeoValys' own properties.
  • Advertiser: Owners, real estate agencies or any other third party using the platform to publish offers to rent or sell properties.
  • Advertisement: The offer to rent or sell a property published by an Advertiser on the platform.
  • Premium services: Additional services offered by NeoValys to Users, for a fee, which provide greater visibility to advertisements or additional functionalities on the platform.
  • Transaction: Any agreement to rent or sell a property made through the platform, either directly with an Advertiser or with NeoValys.

LIMITATIONS OF RESPONSIBILITY

  • NeoValys shall not be liable for any indirect, incidental, special, consequential or punitive losses or damages arising from the use of the platform or the services offered.
  • NeoValys does not guarantee the continuous or uninterrupted availability of the platform and is not responsible for technical failures, service interruptions, unforeseen maintenance or cyber attacks that may affect the User's experience.
  • NeoValys is not responsible for incorrect, incomplete or misleading information in advertisements published by third parties (Advertisers) and does not intervene in the contractual relationship between Users and Advertisers.
  • Force majeure: NeoValys shall not be liable for failures to fulfill its obligations when these are caused by unforeseeable events beyond its control, including, but not limited to, natural disasters, strikes, cyber attacks, telecommunications failures, pandemics, regulatory changes or any other force majeure event.

GENERAL CONDITIONS OF USE (GCU)

  • Purpose and scope of the GCU: These conditions govern access to the platform, the use of its services and the sale of NeoValys' own goods. By using the platform, the User agrees to fully comply with the conditions described herein.
  • Access to the Platform: Access to the platform is free, unless the User opts for paid services (advertorials, premium services, etc.). The User guarantees the veracity of the information provided at the time of registration and undertakes not to disclose their credentials to third parties, being liable for any damages arising from the improper use of their credentials.
  • Use of the Platform: The User undertakes to use the platform in compliance with the laws and regulations in force, as well as with the rights of other Users. Any fraudulent, illegal or unethical use, including but not limited to the publication of false advertisements, the use of other people's identities or the dissemination of illegal content, will result in the immediate suspension of the User's access to the platform.
  • Intellectual Property:
    • By uploading any content to the platform, including photos, descriptions, comments and ratings, the User grants NeoValys a non-exclusive, free, worldwide and transferable license to use, reproduce, modify, distribute and display such content, solely for purposes related to the operation and promotion of the platform.
    • The User warrants that he/she holds all necessary rights to the content submitted and that it does not infringe third party rights, including intellectual property rights and image rights.
  • Protection of personal data: NeoValys undertakes to respect the confidentiality of Users' personal data. This data is collected and processed in accordance with the privacy policy available on the platform, in full compliance with the General Data Protection Regulation (GDPR). The privacy policy details the types of data collected, the purpose of the processing, the rights of Users and the security measures implemented.
  • Account security: The User is entirely responsible for maintaining the confidentiality of their credentials for accessing the platform and for all activities that occur on their account. NeoValys shall not be liable for unauthorized access resulting from the User's negligence in the use and protection of their credentials.
  • Liability:
    • NeoValys is not responsible for the content generated by Users and Advertisers. Each User is solely responsible for the content they publish and any associated legal consequences.
    • If a third party claims that certain content violates their rights, the User responsible undertakes to assume full responsibility and to hold NeoValys harmless from any claim or dispute.
    • Advertisers must ensure that all information provided in their advertisements is accurate, complete, up-to-date and does not mislead Users.
    • Advertisers are solely responsible for the content published and for any claims or disputes arising from their offers.
    • It is forbidden to publish advertisements that violate third party rights, including intellectual property rights, privacy rights and applicable legal standards.
  • Termination and suspension: NeoValys reserves the right to suspend or terminate access to the platform for any User who does not comply with the conditions of use or violates applicable legislation.
  • Moderation and removal of content: NeoValys reserves the right to remove, at its sole discretion and without prior notice, any advertisement or content that violates these conditions, legal regulations or is deemed inappropriate. This removal will not entitle the Advertiser or User affected to any compensation.
  • Right of free resolution: If the platform offers sales or rental services to consumers, they have the right of free resolution (repentance), as provided for in Portuguese law, with a period of 14 days from the date of conclusion of the contract, with the exception of cases specified by law.
  • Rules for Comments and Ratings:
    • Comments and ratings must be based on real experiences and comply with applicable legislation.
    • Content containing offensive, defamatory, discriminatory, obscene or illegal language is prohibited.
    • NeoValys reserves the right to moderate and remove, without prior notice, any comment or review that does not respect these rules or is considered inappropriate.

GENERAL CONDITIONS OF SALE (GCS)

  • Purpose of the GCS: These terms and conditions govern sales made on the NeoValys Real Estate platform for:
    • The rental or sale of properties offered by Advertisers.
    • The direct sale of properties owned by NeoValys.
  • Purchase or rental procedure: The User may consult the advertisements offered by the Advertisers, contact them via the platform and conclude a rental or sale contract directly with the Advertiser. NeoValys does not participate in the negotiations or the formalization of contracts between the parties and is not responsible for any aspects of the transaction, including response times and payment terms. In the case of properties owned by NeoValys, the User can consult the properties made available directly by NeoValys, contact them for additional information and formalize the purchase through a specific contract signed with NeoValys. The terms of the purchase contract will be detailed between the User and NeoValys.
    • Contact Process with Advertisers:
      • The User may contact the Advertisers directly through the platform, using the following means:
        1. NeoValys contact form present in each advertisement;
        2. Contact details of the Advertiser, if available.
      • To start a negotiation, the User must:
        1. Select the desired property and access the ad.
        2. Use one of the contact methods available to send an offer or request more information.
        3. Wait for a response from NeoValys and negotiate the terms of the contract directly with the Advertiser.
        4. Formalize the purchase or rental contract directly with the Advertiser, without the involvement of NeoValys.
    • NeoValys' role in the transaction:
      • For third-party properties, NeoValys does not participate in the negotiations or the formalization of the contracts between the User and the Advertiser. The platform only acts as an intermediary for the publication of advertisements by the Advertiser and the first contact with the User.
      • In the case of properties owned by NeoValys, the purchase and sale or lease agreement will be formalized directly between the User and NeoValys, following the terms previously established.
    • Verification Process:
      • To increase the security of transactions, NeoValys implements an identity verification system for Advertisers and Users, which may include:
        1. Validation of identity documents;
        2. Confirmation of the Advertiser's ownership or brokerage rights over the property;
        3. Analysis of historical behavior on the platform.
    • Provision of Documentation:
      • Where applicable, NeoValys encourages Advertisers to make relevant property documentation available directly on the platform, including:
        1. Energy certificate;
        2. Floor plan of the property;
        3. License to use;
        4. Other legal documents required by current legislation;
      • The User must request and check all documentation before formalizing any transaction.
  • Price and payment:
    • Property prices are set by the Advertisers. NeoValys may charge additional fees for some services, such as the promotion of listings or premium services.
    • Payments are made directly between the User and the Advertiser, unless a specific payment service is offered via the platform.
    • Payments for properties owned by NeoValys follow the terms stipulated in the sales contract.
    • Payments are made directly between the User and the Advertiser, unless a payment service intermediated by NeoValys is available on the platform.
    • If NeoValys offers payment services, the specific terms and conditions of these transactions will be detailed and accepted by the User before payment is made.
  • Price transparency:
    • Property prices are set exclusively by Advertisers, and NeoValys has no control over the setting of these values.
    • Whenever possible, prices displayed on the platform should include details of taxes, notary fees and other applicable charges. The User must confirm with the Advertiser what additional costs may apply before closing any transaction.
  • Service Charges:
    • NeoValys may apply service fees to certain optional services, including but not limited to:
      • Ad promotion (example: prominence on home page, priority in search results);
      • Premium services for Users and Advertisers, such as ad performance reports or priority support.
    • All applicable fees will be clearly indicated before confirming the contracting of the service, guaranteeing total transparency.
  • Payment conditions:
    • Depending on the type of transaction, payments can be made:
      • Directly between the User and the Advertiser, outside the platform;
      • Through NeoValys, if a secure payment intermediation service is available.
    • In the case of properties owned by NeoValys, payments will follow the terms stipulated in the purchase and sale agreement between NeoValys and the User.
  • Payment security:
    • If NeoValys offers a payment system on the platform, it will be carried out through secure and reliable means of payment, protected by encryption protocols and complying with industry security standards.
    • For greater protection, NeoValys may implement identity verification before making large payments.
  • Refund process:
    • In the event of a transaction being canceled, the refund process will depend on the type of transaction carried out:
      • For third-party properties: Any issue related to cancellations or refunds must be resolved directly between the User and the Advertiser, without intervention from NeoValys.
      • For properties owned by NeoValys: Refunds will follow the terms specified in the purchase contract.
    • In the case of service fees paid to NeoValys, refunds may only be granted if expressly provided for in the conditions of the contracted service.
  • Invoices and proofs:
    • All transactions carried out through NeoValys will give rise to the issue of an invoice or proof of payment, guaranteeing transparency and tax compliance.
    • Users will be able to access their invoices through the payment history section of the platform.
  • Guarantee and responsibility:
    • NeoValys undertakes to provide a functional platform and to guarantee the proper presentation of the advertisements.
    • NeoValys shall not be liable for defects, errors or omissions in the advertisements published by third-party Advertisers. The User must check the information before making any decision.
    • With regard to its own properties, NeoValys guarantees the conformity of the properties sold and undertakes to provide all necessary information to the buyer.
  • Modification or cancellation of Ads: The Advertiser may modify or cancel their ads at any time via the platform, within the limits set by NeoValys. NeoValys shall not be liable in the event of cancellation or modification of an advertisement after a transaction has been completed.
  • Dispute Resolution: In the event of a dispute between the User and the Advertiser, NeoValys will not intervene in the resolution of the conflict.
    • Communication and Resolution Procedure:
      • In the event of a dispute between User, Advertiser or between a User and NeoValys, the parties must attempt to resolve the matter amicably before resorting to formal means.
      • The User must contact the other party involved in the dispute via the platform and provide a detailed explanation of the problem by registered letter with acknowledgment of receipt to the counterparty.
      • The recipient of the complaint must respond within a maximum of 10 working days from the date of notification of the dispute, i.e. the date of receipt of the letter.
    • Alternative Dispute Resolution (ADR):
      • If the parties cannot reach an amicable agreement, it is recommended to resort to alternative dispute resolution (ADR) mechanisms, such as mediation or arbitration, before initiating any legal action.
      • The User can obtain information on ADR entities available in Portugal through the consumer portal (https://www.consumidor.gov.pt).
    • Filing Complaints:
      • The User may submit complaints directly to NeoValys via the e-mail address support@neovalys.com or the form available on the platform.
      • All complaints will be analyzed within a maximum period of 30 days from receipt, and the User will be informed of the progress of the process.

By accessing the NeoValys Real Estate platform, the User acknowledges having read and understood these General Conditions of Sale and Use and agrees to be bound by them. These General Terms and Conditions may be amended at any time and the most current version is always available on the platform.

INDEMNIFICATION

  • The User and the Advertiser undertake to indemnify, defend and hold harmless NeoValys, its representatives, employees, partners and affiliates from any claims, losses, damages, costs or expenses (including reasonable legal fees) arising from:
    • The breach of these General Conditions of Use and Sale;
    • Misuse of the platform or the services offered;
    • The publication of false, misleading or unlawful information in advertisements;
    • Any infringement of third party rights, including intellectual property rights, privacy or other legal rights;
    • Failure to comply with tax or regulatory obligations associated with the sale or rental of real estate through the platform.
  • NeoValys reserves the right to intervene in its own defense in any legal dispute related to these situations, and may require the User or Advertiser to reimburse all associated costs.
